Acorn Capital Fund III

The undersigned, being a Limited Partner of Acorn Capital Fund III (the “Fund”), hereby consents to the following written resolutions adopted in lieu of a meeting of Limited Partners pursuant to Section 11.3 of the Limited Partnership Agreement (the “LPA”), and casts its vote on each of the resolved items set out below in respect of annual governance matters for the fiscal year ending 31 December 2025.

Aurum Pension Trust, in its capacity as Limited Partner holding 4.3% of the outstanding Limited Partnership Interests, hereby casts the following votes:

RESOLVED, that the annual operating budget of €14,200,000 for the fiscal year ending 31 December 2025, as prepared by the General Partner and attached as Schedule A, be, and hereby is, approved.
